You may not reproduce, distribute, republish, modify, or commercially exploit any content from this website without prior written permission from Zutsu Media. 3. Services and Engagements
All services provided by Zutsu Media are governed by a formal Agreement entered into between Zutsu Media and the Client or Talent. The scope of services, deliverables, timelines, payment terms, and any specific terms applicable to the engagement will be set out in that Agreement.
In the absence of a formal written Agreement, any services provided by Zutsu Media will be governed by these Terms and Conditions alongside any written communication confirming the scope and commercial terms of the engagement.
Zutsu Media reserves the right to decline any engagement at its sole discretion without being required to provide a reason.
4. Intellectual Property
All intellectual property created by Zutsu Media in the course of delivering services — including but not limited to campaign concepts, creative strategies, content, designs, scripts, production materials, and reports — remains the property of Zutsu Media until full payment has been received, at which point ownership transfers to the Client as specified in the Agreement.
Any pre-existing intellectual property, tools, frameworks, or proprietary methodologies used by Zutsu Media in delivering services remain the exclusive property of Zutsu Media and are not transferred to the Client under any circumstances.
Where services involve third-party intellectual property — including creator content, licensed music, stock imagery, or platform assets — the applicable usage rights are governed by the relevant third-party agreements and are subject to their limitations.
Clients grant Zutsu Media the right to reference completed work, campaign results, and client names for the purposes of portfolio documentation, case studies, and business development unless the Client has specifically requested confidentiality in writing.
5. Confidentiality
Both parties agree to keep confidential any non-public information shared during the course of an engagement — including but not limited to campaign strategies, creative briefs, business plans, financial information, client lists, and proprietary methodologies.
This obligation of confidentiality survives the termination of the engagement and remains in effect for a period of two years following the conclusion of the working relationship unless a separate non-disclosure agreement specifies otherwise.
6. Payment Terms
Payment terms for all services are as specified in the Agreement or as communicated in writing prior to commencement of services. Where no payment terms have been formally agreed, invoices are due within 30 days of the invoice date.
Zutsu Media reserves the right to pause or suspend services in the event of non-payment. Outstanding payments beyond 60 days may attract interest at the rate applicable under the Interest on Delayed Payment Act or as specified in the Agreement.
All fees are exclusive of applicable taxes including GST, which will be charged additionally at the prevailing rate unless otherwise agreed in writing.
Retainer fees and advance payments are non-refundable unless Zutsu Media is unable to deliver the agreed services due to circumstances within our control.
7. Cancellation and Termination
Either party may terminate an engagement by providing written notice as specified in the Agreement. In the absence of a specified notice period, a minimum of 30 days written notice is required.
Upon termination, the Client is liable for payment of all work completed up to the date of termination. Any third-party costs committed by Zutsu Media on behalf of the Client prior to the notice of termination are payable in full by the Client.
For talent management relationships, termination terms are governed by the specific talent management agreement entered into between Zutsu Media and the Talent.
8. Limitation of Liability
Zutsu Media provides marketing, production, and management services with reasonable skill and care. However, we do not guarantee specific business outcomes, revenue results, or performance metrics from any campaign or service unless explicitly committed to in writing in an Agreement.
To the maximum extent permitted by applicable law, Zutsu Media's total liability to a Client or Talent in connection with any engagement shall not exceed the total fees paid by the Client or Talent to Zutsu Media in the three months preceding the event giving rise to the claim.
Zutsu Media shall not be liable for any indirect, consequential, incidental, or special damages arising from the use of our services or this website.
9. Third-Party Platforms and Services
